This Addendum attaches to: Authority Lease Agreement | Dispatch Services Agreement | Independent Contractor Agreement
IMPORTANT: This Personal Guarantee Addendum ("Guarantee") is a legally binding document. By signing below, the undersigned individual ("Guarantor") agrees to be personally liable for all obligations owed to We Have Lots Of Loads LLC ("WHLOL") by the business entity identified herein ("Company").
This Personal Guarantee Addendum ("Guarantee") is entered into by the undersigned individual ("Guarantor") in connection with services provided by We Have Lots Of Loads LLC ("WHLOL") to the business entity identified below ("Company").
This Guarantee is executed as a condition of entering into any service agreement with WHLOL, including but not limited to Authority Lease Agreements, Dispatch Services Agreements, and Independent Contractor Agreements.
In consideration for WHLOL providing services to Company, Guarantor unconditionally and personally guarantees the full and timely payment of all obligations owed to WHLOL, including but not limited to:
This guarantee is continuing and applies to all current and future obligations.
Guarantor agrees that this is a personal obligation separate from the Company. WHLOL may pursue Guarantor directly without first pursuing the Company. Bankruptcy or dissolution of the Company does not release Guarantor from liability.
Guarantor waives any defense based on:
If Company initiates or causes a chargeback or payment dispute, Guarantor agrees to:
Unauthorized chargebacks constitute material breach of agreement.
Guarantor agrees to pay all costs incurred in collecting amounts owed, including:
WHLOL may report unpaid debts to credit reporting agencies where permitted by law.
This Guarantee remains in effect:
This Guarantee shall be governed by the laws of the State in which WHLOL is registered, without regard to conflict of law provisions.
If any provision of this Guarantee is deemed unenforceable, the remaining provisions shall remain in full force and effect.
By signing below, Guarantor acknowledges having read, understood, and agrees to be personally bound by all terms of this Personal Guarantee Addendum.
Electronic Signature Acceptance: By signing above, Guarantor agrees this electronic signature is the legal equivalent of a handwritten signature. Guarantor consents to be legally bound by all terms of this Personal Guarantee Addendum.
