DISPATCH SERVICES AGREEMENT

We Have Lots Of Loads LLC (WHLOL)

IMPORTANT: This document is a legally binding agreement. By signing below, the Carrier acknowledges having read, understood, and agreed to all terms and conditions contained herein. This Agreement governs dispatch and transportation coordination services for new motor carriers operating under their own authority.

1 PARTIES

This Dispatch Services Agreement ("Agreement") is entered into between:

We Have Lots Of Loads LLC ("Dispatch Agent" or "WHLOL")

Philadelphia, Pennsylvania

and

The undersigned Motor Carrier ("Carrier")

This Agreement governs dispatch and transportation coordination services provided to new motor carriers operating under their own authority.

2 PURPOSE

WHLOL agrees to provide dispatch services to Carrier, including:

Load sourcing
Rate negotiation
Broker communication
Setup packet assistance
Documentation coordination
Load confirmation review
Check call communication (if applicable)

WHLOL acts solely as a dispatch agent and not as a freight broker or motor carrier.

3 NEW AUTHORITY DISCLOSURE

This program is designed for new authorities. Carrier acknowledges:

  • WHLOL does not guarantee load availability
  • WHLOL does not guarantee revenue
  • Load access depends on market conditions and broker approval
  • Carrier approval for loads is at the discretion of third-party brokers

Carrier is responsible for maintaining:

Active motor carrier authority
Valid insurance
Active DOT compliance
Satisfactory safety rating

4 COMPENSATION

Carrier agrees to pay WHLOL:

$500 PER WEEK

(Flat Recurring Fee - New Authorities)

Terms:

  • Billed weekly in advance
  • Automatic recurring payment authorization required
  • Fee is due regardless of load volume
  • Non-payment may result in immediate suspension of dispatch services

Note: This fee is for dispatch services only and does not include authority lease.

5 PAYMENT TERMS

  • 5.1 Payments are processed electronically.
  • 5.2 Late payments may result in service interruption.
  • 5.3 Chargebacks without following refund procedure may result in termination and collections.

6 REFUND POLICY

All refunds are governed by WHLOL Refund Policy. Carrier must submit an official Refund Request Form.

  • Dispatch fees are generally non-refundable once services for the week have begun.
  • If services have already been rendered during the billing period, no refund will be issued.
  • If approved, refunds are processed within 7–10 business days.
  • All determinations are final.

7 CARRIER RESPONSIBILITIES

Carrier agrees to:

Maintain all required insurance
Maintain compliance with FMCSA regulations
Communicate availability honestly
Provide accurate equipment details
Submit PODs and documentation promptly
Handle all freight safely and legally

Carrier is fully responsible for:

Freight
Equipment
Drivers
Taxes
Permits
Fuel
Maintenance

WHLOL does not assume operational control.

8 NO BROKERAGE REPRESENTATION

WHLOL is not a freight broker. WHLOL does not:

  • Take possession of freight
  • Issue Bills of Lading
  • Act as a carrier
  • Assume cargo liability

WHLOL acts solely as a dispatch agent facilitating communication between Carrier and brokers. Carrier contracts directly with brokers.

9 BACK SOLICITATION

Carrier may not bypass WHLOL to directly contract with brokers introduced by WHLOL during the term of this Agreement and for 12 months after termination.

If violated: Carrier agrees to pay 15% of gross revenue generated from such broker relationships for 12 months. WHLOL may seek injunctive relief.

10 LIMITATION OF LIABILITY

WHLOL is not liable for:

Freight damage
Broker non-payment
Rate reductions
Load cancellations
Market downturns
Regulatory penalties
Equipment breakdown
Delays

Carrier assumes all operational risk.

11 TERM & TERMINATION

This Agreement begins on the date signed. Either party may terminate with 7 days written notice. Outstanding balances must be paid before termination is finalized.

WHLOL may terminate immediately for:

Non-payment
Compliance violations
Misrepresentation
Chargebacks

12 CHARGEBACK POLICY

Carrier agrees to contact WHLOL directly to resolve disputes prior to initiating a chargeback.

Unauthorized chargebacks may result in:

  • Immediate termination
  • Collections
  • Legal enforcement

WHLOL reserves the right to submit documentation to financial institutions.

13 INDEPENDENT CONTRACTOR STATUS

Carrier is an independent contractor. Nothing in this Agreement creates:

  • Employment
  • Partnership
  • Joint venture

Carrier retains full control of operations.

14 GOVERNING LAW

This Agreement shall be governed by the laws of the State of Pennsylvania, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the state or federal courts located in Philadelphia County, Pennsylvania.

15 ENTIRE AGREEMENT

This Agreement supersedes all prior verbal or written communications.

Modifications must be in writing and signed by both parties.

By signing below, Carrier acknowledges having read, understood, and agreed to all terms and conditions contained in this Dispatch Services Agreement.
