This Addendum attaches to: Independent Contractor Agreement | Authority Lease Agreement | Dispatch Agreement | Personal Guarantee Addendum | ACH Authorization Agreement

IMPORTANT: This Binding Arbitration & Dispute Resolution Addendum is a legally binding document. By signing below, the parties agree to resolve all disputes through binding arbitration rather than in court.

1 PURPOSE

This Binding Arbitration & Dispute Resolution Addendum ("Addendum") is entered into between:

We Have Lots Of Loads LLC ("WHLOL")
and
The undersigned Carrier/Contractor/Guarantor ("Contractor")

This Addendum governs how disputes between the Parties will be resolved. This Addendum is incorporated into and made part of any active service agreement between the Parties.

2 AGREEMENT TO ARBITRATE

The Parties agree that any dispute, claim, or controversy arising out of or relating to:

Authority Lease Subscription
Dispatch Services
Payment disputes
Chargebacks
Refund determinations
Personal Guarantee enforcement
Contract interpretation
Alleged breach of agreement
Back-solicitation claims
Indemnification claims

shall be resolved exclusively through binding arbitration. The Parties waive the right to bring claims in court, except as provided below.

3 CLASS ACTION WAIVER

The Parties agree:

  • Arbitration shall be conducted on an individual basis only.
  • No class actions, consolidated actions, or representative proceedings are permitted.
  • Contractor waives the right to participate in any class action against WHLOL.

4 ARBITRATION RULES

Arbitration shall be administered by a recognized arbitration organization (such as AAA or similar), under its commercial arbitration rules.

  • Be conducted in the State where WHLOL is registered
  • Be conducted by a single neutral arbitrator
  • Follow applicable state law
  • Each party shall bear its own attorney fees unless otherwise awarded by the arbitrator

5 EXCEPTIONS

WHLOL may seek the following in a court of competent jurisdiction if necessary:

  • Injunctive relief
  • Temporary restraining orders
  • Enforcement of non-compete or non-solicitation provisions
  • Collection of unpaid balances

6 CONFIDENTIALITY

All arbitration proceedings shall be confidential. The Parties agree not to disclose:

  • Arbitration filings
  • Evidence
  • Rulings
  • Settlement discussions

except as required by law.

7 SURVIVAL

This Arbitration Addendum survives:

  • Termination of services
  • Cancellation of subscription
  • Non-renewal of agreements
  • Payment disputes

8 SEVERABILITY

If any portion of this Addendum is deemed unenforceable, the remaining provisions shall remain in full force and effect.

9 KNOWING WAIVER

By signing below, Contractor acknowledges:

  • They have read this Addendum
  • They understand they are waiving the right to a jury trial
  • They understand they are waiving the right to bring a lawsuit in court (except limited circumstances)
  • They enter into this agreement voluntarily

Electronic Signature Acceptance: By signing above, the Parties agree this Binding Arbitration & Dispute Resolution Addendum is the legal equivalent of a handwritten signature. The Parties consent to be legally bound by all terms of this Addendum.
